are focused on capital partnership and business co-operation between private investors and entrepreneurs. We enhance value of companies through investment projects undertaken in Private Equity formula.
Investments are undertaken by already successful entrepreneurs who currently play the role of Business Angels. Investments are primarily targeted at companies who seek further business expansion.
Investors have a great understanding of challenges related to business development and management succession in private enterprises. The aim of our mutual project is to highly increase the value of the company. PVP’s investments are focused on long term value creation. Typical investment takes 5-6 years.
Co-operation between investors, PVP and companies includes not only capital involvement but also business co-operation. Partners and experts engaged by PVP are business practitioners who have many years of experience in value creation in co-operation with the owners of private companies. We are not corporate managers. We are entrepreneurs.
OUR INVESTMENT IS IN FACT A JOINT PROJECT. THEREFORE, OUR CO-OPERATION SHOULD BE BASED ON MUTUAL UNDERSTANDING AND THERE HAVE TO BE "BUSINESS CHEMISTRY" BETWEEN US.
ENTREPRENEURS CO-OPERATE WITH ENTREPRENEURS
Private investors invest their capital into small and medium private enterprises.
During 5 years of mutual co-operation including capital increase and business support we intend to significantly increase the value of the company.
In our business model we apply Private Equity principles, however, we are not a typical fund.
We are primarily entrepreneurs who successfully experienced similar cycles in the past and we know how to build the value of the company in such projects.
PRACTICAL EXPERIENCE IN BUSINESS AND FAMILY SUCCESSION
We have practical experience in going through business and family succession.
That is an experience that may be important for those entrepreneurs who built and expanded their businesses and now think about undertaking business succession and ownership transformation of their companies.
Based on our experience the whole process of business succession takes around 5 years and should be combined with considerable increase of enterprise value.
THREE PHASES OF CO-OPERATION
Typical investment is up to PLN 20 million and takes 5-7 years.
In the first phase we invest in the company. We are interested in taking a majority stake (60-70%) or a minority stake (25%-40%).
In the second phase we are actively involved in co-operation with Management through implementation of key strategic projects aimed at value creation.
In the last phase we exit the investment through sale of shares to other investor. At this stage initial owners of the company can also sell their shares.
We believe in the power and development potential of small and medium enterprises. Based on practical experience we know that the major barrier for growing the business is related to access to capital.
In our investments we prefer equity increase, however, we are open to discussions regarding partial purchase of existing shares. Capital increase in the company should be flexible. Consequently, we assume that each project should be evaluated individually and the actual capital increase should include a combination of equity and debt (in a form of loans and bonds) with the timing of fundraising adjusted to the company’s investment and development needs.
Additional financing for the company in a form of equity and debt. Support in business development. Engagement in completion of strategic projects.
PVP capital involvement mainly through minority stake.
Capital and business co-operation with PVP is focused on preparing the company for business succession. Capital increase (money for the company) can be combined with partial purchase of shares from current owners (money for the owners).
PVP capital involvement either through minority or majority stake.
Investments into companies who have stable market situation with recurring revenue, profits and cash flow.
PVP capital involvement through majority or 100% stake.
